Terms of Service

You must be at least 18 years of age to use this Site or make a purchase. By using the Site, you represent and warrant that you are at least 18 years old and that you have the legal capacity to enter into a binding agreement. You further represent that you are legally permitted to purchase, possess, and use the products offered on this Site in your jurisdiction.

To assist in verifying age eligibility, the Site presents an age verification prompt upon entry. By proceeding past that prompt, you affirmatively confirm that you meet the minimum age requirement. THEORY1 reserves the right to refuse or cancel any order where age eligibility cannot be reasonably confirmed. By completing a purchase, you further acknowledge and agree that you have independently verified your eligibility to purchase, receive, and lawfully possess the applicable product in your jurisdiction.

THEORY1 manufactures and sells firearms, firearm components, suppressors (NFA items), ammunition, and related accessories. All purchases are subject to applicable federal, state, and local laws. It is your sole responsibility to ensure that any product you purchase is legal to own, possess, and use in your jurisdiction. By placing an order, you warrant that you are legally eligible to purchase the product and that the product will be received at a location where possession is lawful. THEORY1 assumes no responsibility for any buyer's failure to comply with applicable laws.

Firearm and suppressor transfers must be completed through a Federal Firearms License (FFL) holder in compliance with ATF regulations. THEORY1 will not ship firearms or NFA items directly to customers. It is the buyer's sole responsibility to identify and coordinate with a licensed FFL dealer. THEORY1 is not responsible for any fees, delays, denials, or complications arising from the FFL transfer process.

All products sold by THEORY1 are sold as-is and with all faults, subject only to any limited warranty expressly stated in THEORY1's Warranty Policy at theory-1.com/warranty/. No representation, description, or image on this Site constitutes a guarantee of fitness for any particular purpose.

THEORY1 products are subject to U.S. export control laws and regulations, including the International Traffic in Arms Regulations (ITAR), 22 C.F.R. Parts 120–130, and the Export Administration Regulations (EAR), 15 C.F.R. Parts 730–774. By purchasing any product from THEORY1, you represent and warrant that you are not a citizen or resident of, and the product will not be shipped to, any country subject to U.S. embargo or export restrictions, and that you are not on any U.S. government list of prohibited or restricted parties.

THEORY1 does not sell or ship products outside the United States. Any attempt to export or re-export THEORY1 products without proper authorization from the U.S. Department of State or U.S. Department of Commerce, as applicable, is strictly prohibited and may constitute a federal crime. You assume full and sole responsibility for compliance with all applicable export control laws. THEORY1 shall have no liability for any violation of export control laws resulting from your actions.

All products sold by THEORY1 are designed and intended solely for lawful purposes, including sport shooting, hunting, and lawful self-defense, in strict compliance with all applicable federal, state, and local laws. By purchasing any product from THEORY1, you represent and warrant that you will use it only for lawful purposes consistent with its design intent.

THEORY1 products are sold to competent adults who understand proper firearm safety and handling. All firearms and firearm-related products carry inherent risks of serious bodily injury or death. YOU EXPRESSLY ASSUME ALL RISKS associated with the purchase, ownership, possession, storage, handling, maintenance, transportation, and use of any product purchased from THEORY1, including all risks inherent in the use of firearms and related products.

You agree to release, discharge, and hold harmless THEORY1, Inc. and its officers, directors, employees, and agents from any and all claims, demands, damages, losses, costs, or liability of any kind arising from or related to the use or misuse of any product purchased through the Site, including but not limited to injury, death, or property damage resulting from: misuse or improper handling; failure to follow manufacturer instructions or applicable safety rules; unauthorized modification or alteration; use of non-standard, defective, or improper ammunition; use of the product in a manner inconsistent with its intended design; or any unlawful use of the product.

Any modification of THEORY1 products not expressly authorized by THEORY1 in writing voids all warranties, releases THEORY1 from any and all related liability, and may constitute a violation of federal or state law. You are solely responsible for any consequences arising from unauthorized modifications.

Ammunition Disclaimer: Ammunition is a consumable product that, once used, cannot be returned or refunded. THEORY1 makes no warranty regarding performance, reliability, or suitability of ammunition for any specific firearm or application. THEORY1 shall not be liable for any injury, death, property damage, or firearm damage resulting from the use of ammunition purchased through the Site, including but not limited to damage caused by misfires, hangfires, squib loads, over-pressure rounds, or use of ammunition in an incompatible firearm.

All prices are listed in U.S. dollars. We reserve the right to change prices at any time without notice. Product availability is subject to change. We reserve the right to limit quantities, refuse orders, or cancel orders at our sole discretion, including in cases of pricing errors, suspected fraud, or export control concerns. THEORY1 shall have no liability to you or any third party for any such refusal or cancellation.

We make reasonable efforts to ensure that product descriptions, specifications, and images are accurate. However, we do not warrant that product descriptions or other content on the Site is error-free, complete, or current. If a product you receive does not match its description, your sole remedy is to follow the process outlined in our Returns & Refund Policy, available at theory-1.com/shipping-returns/.

ALL SALES ARE FINAL unless THEORY1 expressly agrees otherwise in writing. Any return or refund is subject exclusively to THEORY1's Returns & Refund Policy, available at theory-1.com/shipping-returns/. THEORY1 reserves the right to refuse any return or refund at its sole and absolute discretion, including but not limited to returns of ammunition, NFA items, and any products showing signs of use, modification, or damage. Initiating a return request does not guarantee acceptance, credit, or refund. By completing a purchase, you agree to be bound by the Returns & Refund Policy as it exists at the time of your purchase.

Any limited warranty coverage applicable to THEORY1 products is set forth exclusively in THEORY1's Warranty Policy, available at theory-1.com/warranty/.

All warranty determinations — including whether a product qualifies for warranty service, the nature and scope of any remedy, and whether a warranty claim will be approved — are made solely at THEORY1's discretion. THEORY1 reserves the right to deny, limit, or void any warranty claim for any reason, including but not limited to misuse, improper storage or maintenance, unauthorized modifications, damage caused by accident or negligence, use of the product in a manner not consistent with its intended purpose, or normal wear and tear. Warranty coverage does not extend to consumable parts, cosmetic damage, or damage caused by use of non-standard ammunition.

All content on this Site — including text, images, graphics, logos, video, and code — is the property of THEORY1, Inc. and is protected by U.S. and international copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on the Site without prior written consent from THEORY1.

By submitting any content to THEORY1 — including photos, reviews, comments, or social media tags referencing THEORY1 — you grant THEORY1, Inc. a perpetual, royalty-free, worldwide, non-exclusive license to use, reproduce, modify, publish, and distribute such content in any medium for any lawful business purpose, without compensation to you.

You agree not to: use the Site for any unlawful purpose; attempt to gain unauthorized access to any part of the Site; interfere with or disrupt the Site or its servers; transmit any malicious code, spam, or harmful content; or misrepresent your identity or eligibility to purchase products. THEORY1 reserves the right to terminate your access to the Site at any time and for any reason, without notice or liability.

THEORY1, Inc. is a corporation organized under the laws of the State of Wyoming. It is a separate and distinct legal entity. No owner, officer, director, shareholder, member, or employee of THEORY1, Inc. has any personal liability for any obligation, debt, or claim arising from or related to these Terms, the Site, or any products sold through the Site. Any claim or action arising under these Terms must be brought solely against THEORY1, Inc. as a corporate entity.

THEORY1's total liability for any claim arising from or related to these Terms shall not exceed the amount you paid to THEORY1 for the specific product giving rise to the claim. THEORY1 shall not be liable for any harm arising from your failure to comply with applicable federal, state, or local laws governing the purchase, possession, transfer, or use of any product purchased through the Site.

You agree to indemnify, defend, and hold harmless THEORY1, Inc. and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any applicable law or regulation, including any firearms or export control law; (d) your misuse of any product purchased through the Site; (e) any injury, death, or property damage caused by or related to any product you purchased through the Site; or (f) the violation of any rights of any third party by you.

THEORY1 shall not be liable for any failure or delay in performance of its obligations under these Terms arising from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, government action or regulation, changes in law, ATF regulatory action, supply chain disruptions, labor disputes, or failure of third-party service providers. In the event of a force majeure event, THEORY1 may cancel affected orders and issue a full refund of the purchase price as its sole obligation.

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict of law principles.

Binding Arbitration: Except as provided below, any dispute, claim, or controversy arising from or relating to these Terms, the Site, or any product purchased through the Site shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration shall take place in Gillette, Wyoming, or via videoconference at THEORY1's discretion. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Exceptions: Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information. THEORY1 may also pursue collection actions in any court of competent jurisdiction.

Jury Trial Waiver: TO THE EXTENT ANY CLAIM PROCEEDS IN COURT RATHER THAN ARBITRATION, YOU AND THEORY1 EACH WAIVE ANY RIGHT TO A JURY TRIAL.

Time Limitation: Any claim arising under these Terms must be brought within one (1) year of the date the claim arose, or it is permanently barred.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

We reserve the right to update these Terms at any time. Changes are effective when posted to the Site. Your continued use of the Site following any posted update constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
